1. Services

SmartFirm provides marketing and automation services for accounting firms, including but not limited to: search engine optimization, marketing automation, website design, client onboarding systems, lead follow-up automation, and review generation programs.

The specific scope, deliverables, timeline, and pricing for any engagement are governed by a separate written agreement or statement of work between SmartFirm and the client. In the event of any conflict between these Terms and a signed agreement, the signed agreement controls.

2. Use of the Website

You agree to use the SmartFirm website only for lawful purposes and in a manner that does not infringe the rights of others. You may not:

• Use the website in any way that violates applicable federal, state, local, or international law or regulation
• Transmit or submit any material that is unlawful, harmful, defamatory, obscene, or otherwise objectionable
• Attempt to gain unauthorized access to any part of the website, its servers, or any system or network connected to the website
• Use automated means to scrape, crawl, or otherwise extract data from the website without prior written permission
• Impersonate or attempt to impersonate SmartFirm, a SmartFirm employee, another user, or any other person or entity

3. Intellectual Property

All content on the SmartFirm website, including text, graphics, logos, images, and software, is the property of SmartFirm or its content suppliers and is protected by applicable intellectual property laws.

You may access and use website content for your personal, non-commercial informational purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from this website without our prior written consent.

Work product created for clients as part of a paid engagement is subject to the ownership terms specified in the applicable client agreement.

4. Payment Terms

Payment terms, including pricing, billing cycles, and late payment policies, are specified in the client agreement for each engagement. Unless otherwise stated in a client agreement:

• Invoices are due within 15 days of the invoice date
• Retainer and subscription fees are billed in advance
• SmartFirm reserves the right to pause or terminate services for accounts with outstanding unpaid invoices

5. Confidentiality

Each party agrees to keep confidential any proprietary or non-public information disclosed by the other party in connection with the engagement, and to use such information only for the purpose of fulfilling obligations under the client agreement. This obligation survives the termination of any agreement between the parties. Confidentiality terms specific to a client engagement are governed by the signed client agreement.

6. Disclaimers

The SmartFirm website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

SmartFirm does not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

Marketing and automation services involve complex variables including search engine algorithms, market conditions, and client-specific factors. SmartFirm does not make representations about specific outcomes. Results from any engagement can vary and depend on a range of factors outside SmartFirm's control.

7. Limitation of Liability

To the fullest extent permitted by applicable law, SmartFirm shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data, arising from your use of the website or our services, even if we have been advised of the possibility of such damages.

SmartFirm's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client to SmartFirm in the three months preceding the claim.

8. Termination

SmartFirm reserves the right to terminate or suspend your access to the website at our discretion, without notice, for conduct that we believe violates these Terms or is otherwise harmful to SmartFirm, its users, or third parties.

Termination of client service engagements is governed by the terms of the applicable client agreement.

9. Third-Party Links

The SmartFirm website may contain links to third-party websites or resources. These links are provided for convenience only. SmartFirm does not endorse and is not responsible for the content, products, or services available through third-party sites. Accessing third-party sites is done at your own risk.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the website shall be resolved in accordance with the dispute resolution provisions in your client agreement, or if no such agreement exists, through binding arbitration or the applicable courts of competent jurisdiction.

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Your continued use of the website following the posting of revised Terms means you accept and agree to the changes. We encourage you to review these Terms periodically.
